Terms of Service

Reserve is offered in three subscription tiers:

• Basic — 1 admin user, 1 company profile, all core features
• Advanced — 1 admin + 2 staff users, 2 company profiles, multi-user collaboration (online mode)
• Pro — 1 admin + 4 staff users (expandable), unlimited company profiles, priority support

Subscriptions are available on monthly, annual, and lifetime billing cycles. Monthly and annual subscriptions auto-renew unless cancelled before the end of the current billing period. Prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

We reserve the right to modify subscription pricing with 30 days advance notice. Price changes will not affect active billing periods.

A Lifetime License entitles you to use the version of the Software available at the time of purchase, plus all updates and upgrades released within two (2) years from the date of purchase, at no additional cost.

After the two-year upgrade window expires, you may continue using your current version of the Software indefinitely. Access to newer versions released after the upgrade window will require a separate upgrade purchase at a price to be determined at that time.

Lifetime Licenses are bound to a single user and a single device at a time. Device transfers are supported through our license migration process.

Reserve supports offline license activation via Ed25519-signed license keys. Offline licensing is available for Annual and Lifetime plans only. Offline licenses do not support multi-user collaboration features, which require an active internet connection (online mode).

Offline license keys are bound to your device hardware identifier (HWID). If you change your device, you must request a license migration through our support process. Migration requests are processed within 24 hours on business days.

If you use online activation, you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized access.

The Software uses a master password to protect local data. You are solely responsible for remembering your master password. We cannot recover your master password or access your encrypted local data. Loss of your master password may result in permanent loss of access to your local data.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NMV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

You acknowledge that the Software is a tool to assist with financial record-keeping and is not a substitute for professional accounting or tax advice. NMV is not responsible for the accuracy of tax calculations, GST filings, or financial reports generated by the Software. You should verify all financial outputs with a qualified chartered accountant.

We may suspend or terminate your license if you breach these Terms. Upon termination, you must cease all use of the Software and delete all copies from your devices. You may cancel your subscription at any time through the customer portal or by contacting support. Cancellation takes effect at the end of the current billing period.

Upon termination, your locally stored data remains accessible to you. We do not remotely delete or lock your data. However, the Software will require a valid license to operate after the current period expires.
